合同寫(xiě)作常用句

凡是接觸過(guò)商務(wù)合同簽訂的人對(duì)下面這四個(gè)句子都不陌生。不過(guò)，越是熟悉的反而越容易出現(xiàn)錯(cuò)誤，因?yàn)槿菀住跋氘?dāng)然”?？纯聪旅孢@四個(gè)句子，你有沒(méi)有出過(guò)錯(cuò)呢？
1. 本合同用英文和中文兩種文字寫(xiě)成，一式四份。雙方執(zhí)英文本和中文本各一式兩份，兩種文字具有同等效力。
The contract is made
out in English and Chinese languages in quadruplicate, both texts being equally
authentic, and each Party shall hold two copies of each text.

本合同由雙方代表于1999年12月9日簽訂。合同簽訂后，由各方分別向本國(guó)政府當(dāng)局申請(qǐng)批準(zhǔn)，以最后一方的批準(zhǔn)日期為本合同的生效日期，雙方應(yīng)力爭(zhēng)在60天內(nèi)獲得批準(zhǔn)，用電傳通知對(duì)方，并用信件確認(rèn)。若本合同自簽字之日起，6個(gè)月仍不能生效，雙方有權(quán)解除本合同。
This contract is signed by the authorized representatives of both parties on
Dec. 9, 1999. After signing the contract, both parties shall apply to their
respective Government Authorities for ratification. The date of ratification
last obtained shall be taken as the effective date of the Contract. Both parties
shall exert their utmost efforts to obtain the ratification within 60 days and
shall advise the other party by telex and thereafter send a registered letter
for confirmation.
3. 本合同有效期從合同生效之日算起共10年，有效期滿(mǎn)后，本合同自動(dòng)失效。
The
contract shall be valid for 10 years from the effective date of the contract, on
the expiry of the validity term of contract, the contract shall automatically
become null and void.
4.
本合同期限屆滿(mǎn)時(shí)，雙方發(fā)生的未了債權(quán)和債務(wù)不受合同期滿(mǎn)的影響，債務(wù)人應(yīng)向債權(quán)人繼續(xù)償付未了債務(wù)。
The outstanding (未了的)
claims and liabilities（債權(quán)和債務(wù)）existing between both parties on the expiry of the
validity of the contract shall not be influenced by the expiration of this
contract. The debtor shall be kept liable until the debtor fully pays up his
debts to the creditor.
